1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the mobile application, our website at topcharge.app, and any related products, features, and services we provide (together, the "Services"). The Services are provided by ("we," "us," or "our").
By creating an account, downloading the application, or otherwise accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree with these Terms, you must not access or use the Services.
These Terms constitute a legally binding agreement between you and us. Please read them carefully and keep a copy for your records. Additional terms may apply to specific products, features, or promotions, and where they do, those additional terms form part of these Terms.
2. Definitions
"Account" means the wallet account you register and maintain to access the Services.
"Funds" means the monetary value held in your Account.
"Transaction" means any payment, transfer, top-up, deposit, withdrawal, bill payment, or purchase carried out through the Services.
"Merchant" means any business, platform, or third party that accepts payment or funding through the Services.
"User," "you," or "your" means any individual or entity that registers for or uses the Services.
"Privacy Policy" means our policy describing how we handle personal information, available within the Services.
3. Eligibility
To register for and use the Services, you must be at least 18 years of age, or the age of legal majority in your jurisdiction if higher, and have the legal capacity to enter into a binding agreement. By using the Services, you represent and warrant that you meet these requirements, that the information you provide is accurate and complete, that you are not acting on behalf of an undisclosed third party, and that you are not barred from using the Services under any applicable law, regulation, or sanctions program. We may refuse, suspend, or terminate access where these requirements are not met.
4. Account Registration and Identity Verification
To use the Services, you must register an Account and provide the information we request. You agree to provide accurate, current, and complete information and to keep it updated. As a regulated financial service, we are required to verify your identity. You agree to complete our know-your-customer (KYC) and verification procedures and to provide any documentation we reasonably request.
We may, at our discretion and to the extent permitted by law, decline to open an Account, request additional information, or apply limits or restrictions to your Account where verification cannot be completed or where we identify risk or non-compliance. You are responsible for all activity carried out through your Account.
5. The Services
Top Charge provides a digital wallet that allows you to hold Funds, send and receive payments, top up or fund accounts with participating Merchants and online platforms, settle bills, purchase digital goods and services, and carry out related Transactions. The features and availability of the Services may vary by location and may depend on your device, network, and successful verification.
We may introduce, modify, suspend, or withdraw features of the Services at any time, and we may impose conditions on access to certain features. We do not guarantee that the Services will be available without interruption or error.
6. Funding, Transactions, and Limits
You may add Funds to your Account using the funding methods we make available. Transactions are subject to the availability of cleared Funds in your Account and to any limits we apply. We may set, vary, or remove limits on Account balances, Transaction amounts, frequency, and other parameters for security, risk, or regulatory reasons.
By initiating a Transaction, you authorize us to process it and to debit your Account accordingly. We may delay, decline, block, or reverse a Transaction where we suspect error, fraud, unauthorized use, or a breach of these Terms, or where required for legal or regulatory reasons. Once a Transaction has been processed, it is generally final and cannot be cancelled unless otherwise stated in these Terms or required by law. You are responsible for ensuring that recipient and Transaction details are correct before confirming a Transaction.
7. Withdrawals and Settlement
You may withdraw available Funds from your Account using the methods we make available, subject to verification, applicable limits, and these Terms. Withdrawal and settlement times may vary depending on the method, the receiving institution, and our risk and compliance checks. We may require additional verification before processing a withdrawal and may hold or delay a withdrawal where necessary to comply with our legal obligations or to investigate suspected fraud or misuse.
8. Fees and Charges
Your use of the Services may be subject to fees and charges, which are disclosed within the Services or in an applicable fee schedule. You authorize us to deduct applicable fees from your Account or from the relevant Transaction. We may introduce or vary fees from time to time and will provide notice of material changes as required by applicable law. You are responsible for any taxes, levies, or third-party charges (such as network or bank charges) that apply to your use of the Services.
9. Refunds, Reversals, and Disputes
Transactions are generally final once processed. Refunds for purchases or top-ups made with Merchants are subject to the relevant Merchant's policies, and disputes regarding goods or services are a matter between you and the Merchant. If you believe a Transaction was unauthorized, erroneous, or processed incorrectly, you must notify us promptly using the contact details in these Terms. We will investigate reported issues and may, where appropriate and permitted, reverse or adjust a Transaction. We may also reverse Transactions credited to your Account in error or as a result of fraud or system failure.
10. Account Security and Your Responsibilities
You are responsible for maintaining the confidentiality and security of your login credentials, PIN, and registered device, and for all activity carried out through your Account. You must not share your credentials with any other person. You agree to notify us immediately if you become aware of any loss, theft, unauthorized access, or suspected compromise of your Account or device. We may require you to re-authenticate, reset credentials, or take other steps to protect your Account, and we may suspend access where we believe your Account security has been compromised.
11. Prohibited Activities and Acceptable Use
You agree not to use the Services to engage in, facilitate, or attempt any of the following:
- Any unlawful, fraudulent, or deceptive activity, or any activity that violates applicable laws or regulations.
- Money laundering, terrorist financing, sanctions evasion, or other financial crime.
- Transactions involving prohibited or restricted goods or services, or counterparties in sanctioned or restricted jurisdictions.
- Providing false, misleading, or incomplete information, or impersonating any person or entity.
- Opening or operating multiple Accounts to evade limits, verification, or restrictions, except where expressly permitted.
- Unauthorized access to, or interference with, the Services, including introducing malicious code, attempting to bypass security, or reverse-engineering the application.
- Using the Services in a manner that could damage, disable, overburden, or impair them, or interfere with any other user's use.
We may investigate suspected violations and take appropriate action, including restricting, suspending, or terminating your Account and reporting to relevant authorities.
12. Suspension, Restriction, and Termination
We may, at our discretion and to the extent permitted by law, suspend, restrict, limit, or terminate your access to the Services or your Account, with or without prior notice, where: you breach these Terms; we suspect fraud, unauthorized use, or unlawful activity; we are required to do so by law, regulation, or a competent authority; verification cannot be completed; or we consider it necessary to protect you, other users, Merchants, or us from risk or loss.
You may close your Account at any time by following the process within the Services or by contacting us. Upon termination or closure, any remaining available balance will be returned to you in accordance with our procedures, subject to completion of verification, deduction of amounts owed, and our legal and regulatory obligations. Provisions of these Terms that by their nature should survive termination will continue to apply.
13. Inactive and Dormant Accounts
If your Account remains inactive for a prolonged period, we may classify it as dormant and apply restrictions, require re-verification before further use, or apply maintenance fees and handle any remaining balance in accordance with applicable law. We will act in accordance with applicable legal requirements, including any obligations relating to unclaimed funds.
14. Compliance and Legal Obligations
We are subject to anti-money-laundering, counter-terrorist-financing, sanctions, and other legal and regulatory obligations. You agree to cooperate with our compliance requirements, including providing information and documentation upon request. We may monitor, screen, delay, decline, freeze, or report Transactions and Account activity as required to meet these obligations, and we may be prevented by law from disclosing the reason for certain actions. You agree to use the Services only for lawful purposes and in compliance with all applicable laws.
15. Intellectual Property
The Services, including the application, website, software, content, designs, trademarks, logos, and other materials, are owned by or licensed to Top Charge and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended personal, non-commercial purpose, in accordance with these Terms. You must not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any part of the Services except as permitted by law or with our prior written consent. All rights not expressly granted are reserved.
16. Third-Party Services and Merchants
The Services may allow you to interact or transact with Merchants and other third parties, and may integrate with or link to third-party products and services. We do not control and are not responsible for the goods, services, content, or conduct of any third party, and any dealings between you and a third party are solely between you and that third party. Third-party products and services may be subject to their own terms and policies, which you are responsible for reviewing. The availability of a third party through the Services does not constitute our endorsement.
17. Communications and Electronic Notices
By using the Services, you consent to receive communications from us electronically, including through the application, by email, by SMS, or by push notification. You agree that electronic communications satisfy any legal requirement that such communications be in writing. We may send you service-related communications, such as Transaction confirmations, security alerts, statements, and legal or regulatory notices, which form part of the Services. It is your responsibility to keep your contact details current and to regularly review notices sent to you.
18. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Services are free of harmful components. Any material obtained through the Services is accessed at your own discretion and risk.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Top Charge and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or in connection with your use of, or inability to use, the Services, even if advised of the possibility of such damages. To the extent we are found liable, our total aggregate liability arising out of or relating to the Services will not exceed the amount of fees you paid to us for the Services in the [twelve (12)] months preceding the event giving rise to the claim, or the minimum amount required by applicable law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
20. Indemnification
You agree to indemnify, defend, and hold harmless Top Charge and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your use of the Services, your breach of these Terms, your violation of any law or the rights of any third party, or any Transaction you initiate.
21. Changes to the Services and These Terms
We may modify these Terms from time to time to reflect changes in our Services, business, or legal or regulatory requirements. When we make material changes, we will notify you through the Services or by other appropriate means and update the "Last Updated" date above. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and may close your Account.
22. Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect your personal information. By using the Services, you acknowledge that you have read and understood the Privacy Policy.
23. Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including natural disasters, power or network failures, acts of government or regulators, changes in law, civil unrest, cyber-attacks, or failures of third-party service providers, banks, or telecommunications networks.
24. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or the Services, are governed by the laws of [governing jurisdiction], without regard to its conflict-of-laws principles. You agree that any dispute will be subject to the exclusive jurisdiction of the courts of [governing jurisdiction], or, where the parties agree or applicable law provides, resolved through binding arbitration in accordance with [applicable arbitration rules]. 25. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy and any additional terms, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor.
- Survival: Provisions that by their nature should survive termination will continue to apply after your Account is closed.
- Language: These Terms may be provided in other languages for convenience; in the event of conflict, the [English] version prevails unless applicable law requires otherwise.
